1. About these terms

These terms form a binding agreement between you, whether as an individual visitor or as the representative of an organization, and WORKHRDFRIT, LLC. They apply to every visit to the website and to every engagement unless a separate written agreement sets different terms for that engagement.

The headings in this document are for navigation only and do not affect the meaning of any clause. If a clause is found to be invalid, the remaining clauses stay in force and the invalid clause is replaced by one that comes as close as possible to the original intent.

Where you accept these terms for an organization, you confirm that you have the authority to bind that organization and that the organization will honor the obligations that follow.

2. Who we are

WORKHRDFRIT, LLC is a limited liability company with its principal address at 1337 E 750 N, Orem - 84097-5480, United States (US). We design and integrate computer systems for production floors and interactive machine environments. Our contact email address is careers@workhrdfrit.hair and our telephone number is +13214635604.

References to we, us and our in these terms mean WORKHRDFRIT, LLC. References to you and your mean the visitor or client accepting these terms. References to services mean the design, integration, testing, support and related work we provide.

3. Eligibility and authority

This website is intended for adults acting in a professional capacity. By using the site you confirm that you are at least eighteen years of age and legally able to enter into a contract. If you are visiting on behalf of an employer, you confirm that you are authorized to do so.

We reserve the right to decline an engagement for any lawful reason, including a conflict of interest, a scope outside our competence, an unsafe working environment or a history of nonpayment. We will explain the reason for a decline when we are able to do so without breaching a duty to another party.

Where a project requires licenses, permits or certifications held by the client, the client is responsible for obtaining and maintaining them. We can assist with documentation, but we do not act as a licensing authority.

4. Use of the website

You may read, print and share the public pages of this site for lawful business or informational purposes. You may not copy substantial portions of the site into another publication, republish it as your own or use it to train a commercial system without written permission.

You must not attempt to gain unauthorized access to the server, probe it for vulnerabilities without permission, interfere with its operation, submit malicious code through a form, or use automated tools to scrape the site in a way that degrades service for others. If you believe you have found a security vulnerability, contact us quietly at careers@workhrdfrit.hair and give us a reasonable opportunity to respond before any public disclosure.

The contact form is provided for legitimate business enquiries. Please do not use it to send advertising, unsolicited bulk messages, chain letters or material that infringes the rights of others. We may ignore or filter messages that do not appear to be genuine.

5. Website information

The content on this website describes our capabilities and typical ways of working. It is provided for general information and is not a technical specification for any particular machine, line or site. The description of a service on this site does not create a promise that a specific feature will be included in a specific project.

Technical content becomes outdated as standards and equipment change. We try to keep the site current, but we do not warrant that every page reflects the latest state of the art or the latest availability of a component. A written quotation or project agreement is the authoritative description of what we will deliver.

Any diagram, illustration or workshop scene on the site is decorative and conceptual. It should not be treated as an electrical drawing, a safety layout or an installation instruction.

6. Enquiries and quotations

An enquiry submitted through this website or by email does not create a contract. We will review the information you send, may ask follow up questions and will tell you whether we are able to help. A quotation issued by us is an invitation to contract, not an offer that binds us automatically.

Quotations are based on the information available at the time and remain valid for the period stated in the quotation, or for thirty days if no period is stated. A quotation may be withdrawn or adjusted if the site conditions, the machine configuration or the requirements differ materially from what was described.

A contract is formed when we accept a purchase order or when both parties sign a project agreement, whichever happens first. If a purchase order contains terms that conflict with these terms or with the project agreement, the order of precedence is the signed agreement, then these terms, then the purchase order.

7. Scope of services

Our services include production control integration, workflow automation design, sensor and interlock systems, test bench engineering, data collection pipelines, and maintenance and field support. The scope of a specific engagement is defined in the quotation or project agreement and may include only some of these lines.

Work outside the agreed scope, whether discovered during a survey or requested later, is handled through a change order as described in section 10. We will not quietly absorb extra work into a fixed price, and we will not silently reduce the agreed scope to stay within a budget.

Where a project depends on a third party such as a machine builder, a network carrier or a software vendor, we can coordinate with that party but we do not control its schedule or its quality. Delays caused by a third party are handled under the scheduling provisions of these terms.

8. Client responsibilities

A successful integration depends on cooperation. The client agrees to provide accurate information about the machines, the process and the site, to nominate a person who can make decisions during the project, and to respond to review requests within a reasonable time. A decision that arrives weeks late can delay the entire build.

The client also agrees to provide safe access to the work area, to arrange any plant shutdown or permit required for installation, and to ensure that the people who operate the equipment are available for training and acceptance testing. Where software credentials or network access are needed, the client will provide them in time for the scheduled work.

The client is responsible for maintaining backups of its own business data before we perform work that may affect a controller, a network device or a data store. We will state in advance when a task carries that risk, but the final decision to proceed rests with the client.

9. Site access and safety

Our engineers follow the safety rules of the site they visit. If a site rule conflicts with a method we consider necessary, we will raise the conflict before starting the task rather than improvising. We reserve the right to stop work if conditions are unsafe, and a stop for safety is not a breach of these terms.

The client remains responsible for the overall safety of its facility, including lockout and tagout procedures, machine guarding and the training of its staff. We design and test the systems within our scope, but we do not take over the client legal duties as the operator of the equipment.

Where a task requires work at height, in a confined space or near energized equipment, we will confirm before the visit that the required permits, equipment and qualified client personnel are available.

10. Change orders

Either party may request a change to the scope, the schedule or the technical approach. We will describe the change, its effect on cost and its effect on the schedule, and the client will approve or decline it in writing. Work on a change begins only after approval.

If a change is urgent and approval takes too long to protect safety or equipment, we may take a reasonable interim action such as isolating a hazard. We will document the action and present the formal change order as soon as possible afterwards.

A change that removes work may reduce the agreed price where the removed work has not yet been performed. Materials already ordered and labor already committed remain payable unless the supplier or vendor permits cancellation without charge.

11. Fees and payment

Fees are stated in the quotation or project agreement and may be fixed, time and materials, or a combination of the two. Expenses such as travel, accommodation, shipping and specialized rentals are charged at cost unless the quotation states otherwise. All amounts are in United States dollars.

Unless the agreement states different terms, invoices are due within thirty days of the invoice date. For larger engagements we may invoice at milestones such as design approval, bench completion and commissioning. We may require a deposit before ordering long lead equipment.

Overdue amounts may accrue interest at the rate stated in the agreement or, if none is stated, at the maximum rate permitted by law. We may suspend work on an account that is seriously overdue after giving written notice. If collection action becomes necessary, the client agrees to reimburse reasonable collection costs to the extent permitted by law.

The client is responsible for any sales, use or value added tax that applies to the transaction, other than taxes on our income.

12. Scheduling and delays

Dates in a quotation are estimates unless the agreement expressly makes them firm. We will give prompt notice of any event that threatens a date, along with an updated estimate and a proposal to recover the schedule where recovery is possible.

Neither party is liable for delay caused by an event beyond its reasonable control, such as a natural disaster, a widespread utility failure, a labor dispute, a government action or a supplier failure. The affected party will notify the other promptly and will work to reduce the impact.

If a delay caused by the client lasts beyond a reasonable period, we may reschedule the work and charge for the reserved time in accordance with the agreement. Idle travel and standby time are billed only where the agreement allows it.

13. Intellectual property

The text, layout, visual design and code of this website belong to WORKHRDFRIT, LLC and are protected by copyright and other laws. You may not reproduce the design as your own, remove a copyright notice or use our name or marks in a way that suggests endorsement without written permission.

For project work, the client receives a license to use the delivered drawings, programs and documentation for the purpose of operating and maintaining the installed system at the site identified in the agreement. We retain ownership of our underlying templates, libraries, methods and generic modules, and of any tool or framework that is not specific to the client installation.

Where the agreement provides for a transfer of ownership in custom deliverables, the transfer takes effect on full payment and is limited to the custom elements identified in the agreement. Third party software remains subject to its own license terms.

The client may not resell, sublicense or publish our deliverables as a product without written consent. We may describe the general nature of an engagement in our portfolio only where the client has agreed, and we will never publish client drawings or operating details without permission.

14. Client materials and data

The client grants us a limited license to use the materials it provides, such as drawings, machine manuals, program exports and site photographs, for the purpose of performing the engagement. The client confirms that it has the right to share those materials and that doing so does not infringe the rights of another party.

Data collected by an integrated system remains the property of the client. We may access that data only as needed to commission, test, troubleshoot or support the system, or as otherwise instructed in writing. We handle personal information in accordance with our Privacy Policy and, where applicable, a separate data processing agreement.

On termination the client may request the return of its materials and a final export of project files in the formats described in the agreement. We will return or destroy client materials on request, except for records we must keep for legal, tax or safety reasons.

15. Confidentiality

Each party may receive information that the other treats as confidential, such as process details, production volumes, pricing or the contents of a control program. The receiving party will use that information only for the engagement, will protect it with reasonable care and will not disclose it to third parties except as permitted below.

Disclosure is permitted to employees, contractors and professional advisers who need the information and who are bound by confidentiality obligations. Disclosure is also permitted when required by law, provided that the receiving party gives the disclosing party notice where legally possible so that a protective order can be sought.

Confidentiality obligations continue for three years after the engagement ends, and longer where the information is a trade secret. Information that becomes public without a breach, that was already known to the receiving party, or that is independently developed is not subject to these obligations.

16. Third party components

Integrated systems often include hardware and software from other manufacturers, such as controllers, drives, sensors, networking equipment and database platforms. Those components are governed by the warranty and license terms of their manufacturers, and we pass those terms through to the client where they apply.

We select components with care and will advocate on the client behalf when a manufacturer defect appears. We cannot, however, promise a result that depends on a manufacturer honoring its own warranty, and we are not the author of third party firmware or software.

If a third party component becomes unavailable or is discontinued, we will propose a suitable replacement and quote the work needed to adapt the system. We do not guarantee that a replacement will be identical in behavior, but we will document any differences and test them with the client.

17. Warranties

We warrant that our services will be performed in a professional and workmanlike manner by qualified personnel, consistent with the standards of our industry and with the specifications in the agreement. We warrant that the deliverables will substantially conform to the agreed description at the time of acceptance.

If a deliverable fails to meet this warranty and the client notifies us within the warranty period stated in the agreement, or within ninety days of acceptance if no period is stated, we will correct the defect at no additional charge. This is the client primary remedy for a warranty claim.

Except as stated in this section, the services and the website are provided as they are, and we disclaim other warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non infringement. Nothing in this section excludes a warranty that cannot be excluded under applicable law.

We do not warrant that a system will be free of every fault, that a network will never fail, or that a third party change outside our control will not affect behavior. We do warrant that we will respond to a reported fault in the manner described in the support terms.

18. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production, lost data or loss of business opportunity, arising out of or related to these terms or the services.

Our total aggregate liability arising out of or related to an engagement is limited to the total fees paid by the client for the specific services giving rise to the claim during the twelve months before the event that caused the loss. For website use, our total liability is limited to one hundred United States dollars.

These limits do not apply to liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law. The limits are intended to allocate risk in a way that is reflected in the price of the services.

A claim must be brought within the period stated in the agreement or, if none is stated, within two years after the claimant knew or should have known of the facts giving rise to the claim.

19. Indemnification

The client agrees to indemnify and hold harmless WORKHRDFRIT, LLC and its personnel from claims, damages and reasonable costs arising from the client provision of materials that infringe another party rights, from unsafe conditions at a client site that the client knew or should have known about, or from the client use of a delivered system outside the documented operating conditions.

We agree to indemnify the client from claims that our deliverables infringe a United States patent, copyright or trade secret, provided that the client notifies us promptly, allows us to control the defense and cooperates reasonably. If such a claim arises, we may modify the deliverable, obtain a license or, where neither is practical, refund the fees paid for the affected element.

The indemnified party must not admit liability or settle a claim without the consent of the indemnifying party. Each party will cooperate in the defense and will mitigate its losses where reasonable.

20. Termination

Either party may terminate an engagement for convenience with thirty days written notice. In that case the client pays for work performed and materials committed up to the termination date, and we deliver the work product completed so far.

Either party may terminate immediately for a material breach that is not cured within fifteen days of written notice, or for insolvency, bankruptcy or a similar event affecting the other party. Termination for cause does not relieve the client of the obligation to pay for accepted work.

On termination we will return client materials, provide a final export of project records and hand over access credentials as described in the agreement. Support obligations that were purchased separately continue for the period paid, unless the termination was caused by the client material breach.

Sections that by their nature should survive termination, including those on intellectual property, confidentiality, payment, limitation of liability and governing law, remain in force.

21. Support terms

Maintenance and field support are provided on the schedule and terms stated in the support agreement. Support during production hours is available by telephone at +13214635604 or by email at careers@workhrdfrit.hair, and we aim to acknowledge a reported fault within one business day.

Remote access, where the client permits it, is used to diagnose faults and to apply approved changes. We will not change a program, a configuration or a safety parameter without the client written approval, and every remote session is logged with the identity of the engineer and the change made.

Damage caused by a third party modification, by a client change made without our knowledge, by environmental conditions outside the documented range or by misuse is not covered by support. We will still help diagnose the problem and will quote any repair needed.

22. Governing law and disputes

These terms and any engagement are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Utah County, Utah, for any dispute that is not resolved by negotiation.

Before filing a claim, the parties will attempt in good faith to resolve the dispute through discussion between senior representatives for at least thirty days. If that fails, either party may propose mediation before a neutral mediator in Utah County. Mediation costs are shared equally unless the agreement states otherwise.

Nothing in this section prevents either party from seeking urgent injunctive relief to protect confidentiality or intellectual property, or from bringing a claim in small claims court where the amount qualifies.

24. Changes to these terms

We may update these terms to reflect changes in our services, in the law or in the way we work. The effective date at the top of this page shows the version in force. Material changes will be announced on the website and, where we hold a contact address for a client and the change affects an active engagement, by email.

Changes apply to new engagements from the effective date. For an engagement that is already underway, the version in force when the agreement was signed continues to apply unless both parties agree otherwise in writing.

We keep copies of previous versions and can provide them on request. Continued use of the website after a change is published indicates acceptance of the updated terms for website use.

25. Contact

Questions about these terms should be sent to WORKHRDFRIT, LLC by email at careers@workhrdfrit.hair or by telephone at +13214635604 during business hours, Monday to Friday from 8:00 to 17:00 Mountain Time.

If you are unsure whether a proposed use of this website or of our services is permitted, ask before you proceed. We would rather answer a question early than resolve a dispute later.
